Sottivo - Terms of Service

These Terms apply to the Sottivo website (sottivo.com), the Sottivo web app (app.sottivo.com), and the Sottivo desktop app for Windows and macOS.


1. About these Terms

These Terms of Service (the “Terms”) are an agreement between you (“you”, “User”) and Sottivo, a product provided by a sole proprietor registered in Ukraine (“we”, “us”, “Sottivo”).

By creating an account, installing the desktop app, or otherwise using Sottivo, you accept these Terms and our Privacy Policy. If you do not agree, do not use Sottivo.

If you accept these Terms on behalf of an organisation, you confirm you are authorised to do so, and “you” means both you and that organisation.

2. What Sottivo is

Sottivo is an AI copilot for calls, meetings and interviews, provided as an online service. It includes:

  • Live transcription. Your conversation turned into text as it happens.
  • AI suggestions. Sottivo recognises when a question has been asked and suggests an answer, automatically or when you ask for one.
  • Screen analysis. You select an area of your screen - for example a coding task - and receive an explanation or a proposed solution.
  • Profiles. Reusable setups (specialisation, seniority, domain, languages, skills, your own instructions, an attached CV) so suggestions fit the role you are in.
  • Session history. Review, rename and delete past sessions, including their text and the suggestions produced during them.
  • Overlay controls (desktop). A window that stays on top, a click-through mode so it does not get in your way, transparency and layout controls, keyboard shortcuts, instant hide, and exclusion of the Sottivo window from screen sharing and screen recording (see §8.3).
  • Helper Rooms. You (the host) share a screen or window you select, optionally with sound, with people you invite (participants), who watch in their browser and interact with you in real time by text or, if you allow it, by voice.

Available features differ by platform. The desktop app provides listening to the call, keyboard shortcuts and the overlay features; the web app is a companion for signing in, history, billing, profiles and joining Helper Rooms, and does not listen to calls. Hosting a Helper Room requires the desktop app. Some features are limited to specific operating systems.

3. Eligibility and accounts

  1. You must be at least 16 years old.
  2. Give us accurate registration information and keep it up to date.
  3. You are responsible for your sign-in details and for what happens under your account. Tell us at support@sottivo.com if you think someone else has access.
  4. One account per person, unless we agree otherwise in writing. Do not share your account.
  5. We may refuse, suspend or close accounts in line with §12.

4. Plans, pricing and payment

  1. Sottivo has a free tier and paid tiers. Paid tiers are available with monthly or annual billing. Current names, prices, billing periods and limits are on the pricing page.
  2. Prices are shown in the currency indicated at checkout. Taxes (VAT, sales tax and equivalents) are added as required for your billing location and are shown before you confirm payment.
  3. Merchant of record. Payments are handled by a third-party payment provider, which acts as merchant of record and reseller for your purchase. Your order and invoice are with that provider, and its buyer terms and privacy notice apply to the payment itself in addition to these Terms.
  4. Card details. Checkout takes place on the payment provider’s own payment page. Sottivo never receives or stores your card number, security code or other full payment details.
  5. Automatic renewal. Paid subscriptions renew automatically at the end of each billing period at the then-current price for your plan, until you cancel. We will tell you in advance about any price change that affects your renewals, and you can cancel before it takes effect.
  6. If a payment fails. If a renewal payment does not go through, we may allow a short period for you to fix it. If it is not resolved, paid features are withdrawn and your account returns to the free tier.
  7. Trials and promotional codes. We may offer trials and promotional codes. Unless we say otherwise, a trial turns into a paid subscription at the end of the trial period unless you cancel first. Promotional benefits are time-limited, non-transferable and cannot be exchanged for cash.
  8. Usage limits. Each plan includes limits - for example minutes of transcription, number of suggestions, number of profiles, and Helper Room capacity. We measure your usage, and our measurement is what applies. When a limit is reached, the feature concerned becomes unavailable until your next billing period or until you upgrade. Limits reset at the start of each billing period and unused allowances do not carry over unless we say otherwise.

5. Refund policy

  1. Try it for free first. Sottivo has a free tier that lets you test the service before moving to a paid plan. Given this, paid plans are generally non-refundable once you have started using paid features (for example, using transcription minutes or suggestion allowance beyond the free tier).
  2. Right of withdrawal before use begins. At checkout, we ask you to confirm that you want immediate access to the paid plan, and to expressly agree that once you start using it you lose the right to withdraw from the contract that would otherwise apply for 14 days (for consumers in the EU/EEA and the UK). If you have not started using the paid features, you may withdraw from the contract within those 14 days.
  3. Technical and billing errors. If you were charged in error - for example a duplicate charge or a payment glitch - we will refund that amount. Write to support@sottivo.com or Telegram t.me/sottivo with the email on your account and the payment details.
  4. Your statutory rights. Nothing here limits any refund or cancellation right you have as a consumer under the law of your country of residence that cannot be waived.
  5. How refunds are paid. Where a refund is due, it is issued through the payment provider to your original payment method. How quickly it arrives depends on your payment method and bank.
  6. Abuse. We may decline a refund where we reasonably believe the request is abusive - for example repeated buy-and-refund cycles, or a refund request following a breach of §8.

6. Cancellation

  1. You can cancel a paid subscription at any time from the subscription screen in the app.
  2. Cancellation takes effect at the end of your current paid billing period. You keep paid features until then, after which your account returns to the free tier. Cancelling does not by itself produce a refund; refunds are covered by §5.
  3. Downgrades take effect at the end of the current billing period. Upgrades take effect once your payment is confirmed.
  4. Returning to the free tier can make content that exceeds free-tier limits unavailable - for example profiles or Helper Rooms above the free allowance. We do not delete it just because you downgraded, but you may need to reduce what you use, or upgrade again, to reach it.
  5. Deleting your account. You can delete your account and data directly in the app, under account settings, as described in the Privacy Policy. Deleting your account is not the same as cancelling billing - please cancel the subscription separately.

7. Your content

  1. Your Content means what you give to Sottivo or produce with it: CVs, profile text and instructions, the conversation Sottivo listens to, the text produced from it, screen content you submit, Helper Room settings, and messages. You keep all rights you have in Your Content.
  2. Licence to us. You give us a non-exclusive, worldwide, royalty-free licence to store, transmit and process Your Content, and to produce text and suggestions from it, only in order to provide, secure, support and improve the service for you and to comply with the law. This licence ends when Your Content is deleted, allowing for routine backups to be overwritten.
  3. We do not train our AI models on your content.
  4. Your assurances. You confirm you have the rights and permissions needed to give us Your Content and to have it handled as described here - including in relation to other people who appear in a conversation, on a captured screen, or in an uploaded document.
  5. Suggestions. We do not claim ownership of the suggestions the service produces for you. Suggestions may not be unique: similar situations can produce similar suggestions for different users, and suggested content may be subject to someone else’s rights. Check any suggestion before you rely on it or pass it on.

8. Acceptable Use

8.1 General restrictions

You must not, and must not let anyone else:

  • use Sottivo in breach of any law, or of any binding rule, policy or agreement that applies to you - including the rules of your employer, client, educational institution or certification body;
  • record, transcribe, monitor or process another person’s speech where that requires a notice or consent you have not obtained, or where it is prohibited;
  • use Sottivo for fraud, deception, impersonation, harassment, discrimination, or to infringe anyone’s intellectual property, confidentiality or privacy;
  • put into Sottivo, or share through a Helper Room, information you are not allowed to disclose - including someone else’s confidential information, trade secrets, personal data, or anything covered by a non-disclosure obligation;
  • try to gain unauthorised access to the service, to other users’ data or to our systems; test the service’s security without our prior written permission; or get around sign-in, plan limits or usage measurement;
  • reverse engineer, decompile or disassemble the software, except where the law does not allow that to be prohibited; resell, sublicense, rent out or pass off the service as your own; or use it to build a competing product;
  • access the service by automated means other than through the interfaces we provide, or place an unreasonable load on it;
  • upload malware, or content that is unlawful, abusive or sexually explicit.

8.2 Suggestions are suggestions, not advice

Sottivo produces suggestions automatically, and automated systems can be wrong, incomplete, out of date, or can invent things. Suggestions are not legal, medical, financial, tax, engineering, safety or other professional advice. You alone are responsible for reviewing a suggestion, deciding whether to use it, and for anything you say or do as a result. Do not rely on Sottivo where a mistake could cause harm or loss, or put you in breach of an obligation to someone else.

8.3 Invisibility during screen sharing - your responsibility

This clause is central to how Sottivo may be used.

  1. What the feature does. The Sottivo desktop interface is designed to be excluded from screen sharing and screen recording. When the feature is on, the Sottivo window is intended not to appear in a shared screen, a recording, or a screenshot taken by another application. In practice this means other people on the call - including an interviewer, examiner, colleague or viewer - will not see through screen sharing that you are receiving suggestions.
  2. Honest limitations. This covers screen sharing and recording done in software, on supported platforms. It does not cover a physical camera pointed at your screen, a separate device, or someone watching over your shoulder, and it may not cover methods, platforms or system versions we have not accounted for. Updates to your operating system or to other applications can change this behaviour without notice. We do not warrant that the Sottivo interface will be invisible in every situation, to every method of capture, or at all times. Do not treat the feature as a guarantee of concealment.
  3. You decide whether you are allowed to use it. Whether AI assistance - visible or not - is permitted in a particular call, meeting, interview, assessment, exam or certification process is decided by whoever runs it: the employer, recruiter, client, educational institution, certification body, examiner or platform. Their rules, and the applicable law, govern what you do. It is your sole responsibility to know those rules and to follow them, including any duty to disclose that you are using an assistance tool.
  4. We take no position on your particular use. We provide a tool. We do not assess, approve, endorse or supervise the situations you use it in, and the existence of the invisibility feature is not a statement by us that concealment is allowed in your case. Sottivo is intended for situations where this kind of help is legitimate: work calls, internal meetings, code reviews, preparation and practice, and interviews or assessments where the organiser permits AI assistance.
  5. You must not use Sottivo, or its invisibility feature, to break the rules of an exam, certification, academic assessment or recruitment process, to obtain a qualification or a job by deception, or to defeat a monitoring or integrity measure you are required to comply with.
  6. Consequences. If your use of Sottivo breaks an obligation you owe to someone else, the consequences are yours - including a withdrawn offer, disciplinary action, an invalidated result, dismissal, or legal claims. §11 (indemnity) applies.

8.4 Helper Rooms - your responsibility

  1. Hosting a Helper Room means sending the screen, window and sound you select, along with whatever else you have allowed (conversation text, suggestions, screen captures), to the people you invited. You choose what to share and who to share it with.
  2. It is your sole responsibility to make sure that involving another person, and sharing what you share, is lawful and permitted in your particular situation. That includes confidentiality obligations to your employer or client, other people’s personal data visible on your screen or audible on the call, and the rules of any interview, assessment, exam or certification process. The rules of the event, not Sottivo, determine whether outside help is allowed.
  3. The limit here is trust, not technology. A participant watches in an ordinary browser and can take screenshots or record what they see with their own tools. Sottivo’s protection against screen capture applies only to your own computer and cannot restrict what a participant does. Invite only people you trust.
  4. You control access to your room. Keep room links and passwords private, use the approval step and participant limits, and remove or ban participants who should no longer have access. Get a new room link if you think the old one has spread beyond the people you intended.
  5. Participants must not record, republish or otherwise misuse what they see or hear in a room, must not use a room to send unlawful, abusive or misleading content, and must follow §8.1. Participants can join without a Sottivo account; by joining, they accept these Terms as they apply to participants.
  6. We do not record Helper Rooms. The video and sound of a room are not stored by us. Messages and participant events are kept as part of the host’s session history.
  7. If you allow participants to speak, remember that sound coming from your speakers can be picked up by your microphone and heard by others on your call. Use headphones.

8.5 Enforcement

We may look into suspected breaches and respond proportionately under §12 - for example removing content, turning off a feature, suspending Helper Room access, or closing the account. Where it is lawful and practical, we will tell you what happened and why.

9. Availability and changes

  1. Early-stage product. Sottivo is currently at an early stage of development. This means you may encounter bugs, unstable behaviour in individual features, temporary outages, or changes to how the service behaves more often than is typical for a mature product. By using Sottivo at this stage, you accept it “as is”, with these characteristics in mind.
  2. We aim to keep Sottivo available, but we do not promise it will be uninterrupted or error-free. Maintenance, incidents and factors outside our control can cause downtime.
  3. Sottivo relies on third-party providers for hosting, speech recognition, AI processing, real-time audio and video, and payments. Interruptions or changes at those providers can affect how Sottivo works or which AI models are used.
  4. We may add, change or remove features. Where a change materially reduces the functionality of a paid plan you are on, we will give you reasonable notice and you can cancel under §6.
  5. Features labelled beta, preview or experimental are provided as they are, may be unstable, and may be withdrawn without notice.
  6. Sottivo does not replace the conferencing, recording or transcription features of the platform your call takes place on, and we are not responsible for that platform’s behaviour, rules or policies.

10. Intellectual property

Sottivo - its software, interfaces, design, documentation, trademarks and branding - belongs to us or our licensors and is protected by intellectual property law. We give you a limited, revocable, non-exclusive, non-transferable right to use Sottivo in line with these Terms and your plan. No other rights are granted.

Third-party open-source components are licensed under their own terms, which prevail over this section for those components.

11. Indemnity

To the extent the law allows, you will indemnify us and hold us harmless against claims, proceedings, losses, liabilities, fines and reasonable costs (including legal fees) arising from:

  • your breach of these Terms, in particular §8;
  • your use of Sottivo in a call, meeting, interview, assessment, exam or certification process in breach of that event’s rules or of the law;
  • your handling of other people’s speech, personal data, confidential information or screen content through Sottivo without the necessary rights, notices or consents;
  • content that you or your Helper Room participants send.

12. Suspension and termination

  1. By you. Stop using Sottivo whenever you like. Cancel a paid subscription under §6, and request deletion of your account as described in the Privacy Policy.
  2. By us. We may suspend or close your access, immediately where necessary, if you materially breach these Terms (including §8), if the law or a payment provider or card network requires it, if your account is used fraudulently or creates risk for us or other users, or if a payment problem is not resolved.
  3. Notice. Except where we need to act immediately, we will give you notice and, where appropriate, a chance to put things right.
  4. Effect. When these Terms end, your right to use Sottivo ends and access stops. We keep and delete data as described in the Privacy Policy. If we end the agreement without cause, we will refund the unused part of a period you have paid for. If we end it because of your breach, no refund is due unless the law requires one.
  5. Sections 7 (in relation to the content licence), 8, 10, 11, 13, 14, 15 and 16 continue to apply after termination.

13. Disclaimers

To the fullest extent the law allows, Sottivo is provided “as is” and “as available”, and we exclude all implied warranties, including merchantability, fitness for a particular purpose, non-infringement and accuracy. In particular, we do not warrant that:

  • transcription or suggestions will be accurate, complete, timely or suitable for your purpose;
  • the service will recognise every question, or produce a suggestion for every question;
  • the invisibility feature will work in every situation, against every method of capture, or on every platform or system version (see §8.3.2);
  • a Helper Room will always connect, in particular on restricted corporate networks or through VPNs;
  • your use of Sottivo is permitted in any particular call, meeting, interview, assessment or exam.

Nothing here limits rights that cannot lawfully be excluded, including consumer rights that cannot be waived.

14. Limitation of liability

  1. To the extent the law allows, we are not liable for indirect, incidental, special or consequential loss, or for lost profit, revenue, business, goodwill, opportunity, data or expected savings, however caused.
  2. Without limiting §14.1, we are not liable for what follows from your using Sottivo in a situation where doing so was not permitted - including a failed, invalidated or withdrawn interview, assessment, exam, certification, offer, contract or job.
  3. Our total liability arising out of or in connection with these Terms is limited to EUR 100.
  4. Nothing here excludes or limits liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, for fraud, or for consumer rights that cannot be waived.

15. Changes to these Terms

We may change these Terms. The “Last updated” date at the top of this document always reflects the current version - we recommend checking it periodically. Continuing to use Sottivo after a change takes effect means you accept it. If you do not accept a change, cancel under §6 and stop using Sottivo.

16. Governing law and disputes

  1. These Terms are governed by the law of Ukraine.
  2. Disputes are subject to the courts of Ukraine.
  3. If you are a consumer, this section does not deprive you of the protection of mandatory rules of the law of your country of residence.
  4. Before starting formal proceedings, please contact support@sottivo.com or Telegram t.me/sottivo so we can try to sort the matter out directly.

17. General

  1. Whole agreement. These Terms, the Privacy Policy, and any plan-specific terms referenced when you buy, are the whole agreement between us on this subject.
  2. Severability. If a provision turns out to be unenforceable, the rest stays in force and that provision applies as far as it lawfully can.
  3. No waiver. Not enforcing a provision does not waive it.
  4. Transfer. You may not transfer these Terms without our consent. We may transfer them in connection with a merger, acquisition or reorganisation, on notice to you.
  5. Events outside our control. Neither of us is liable for failure to perform caused by events beyond our reasonable control.
  6. Language. The official, legally binding version of these Terms is in English. Any translation into another language, including this one, is provided for convenience only and is not official. If you are reading a translation, the English version applies and prevails in the event of any discrepancy or dispute.
  7. Export and sanctions. Do not use Sottivo in breach of export control or sanctions law, and you confirm you are not someone we are prohibited from dealing with.
